Welcome to Assistral ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, products, and services (collectively, the "Services") operated by Assistral.

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access our Services. These Terms apply to all visitors, users, and others who access or use our Services.

Assistral provides AI automation and integration services, including but not limited to:

• AI Partner Services: Comprehensive AI department services including consultation, integration, implementation, education, and ongoing support
• AI Strategy Consulting: Strategic advisory services for AI adoption and optimization
• Custom AI Development: Bespoke AI solution development and integration
• AI Receptionist: Voice AI services for business communication

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to terminate accounts that violate these Terms or engage in prohibited activities.

Service Contracts

Specific services will be governed by separate service agreements that detail scope, deliverables, timelines, and pricing. These service agreements are incorporated by reference into these Terms.

Payment Terms

• Fees are due according to the payment schedule specified in your service agreement
• All payments are non-refundable unless otherwise stated in writing
• Late payments may incur additional charges as specified in your service agreement
• We reserve the right to suspend services for non-payment
• All fees are exclusive of taxes, which are your responsibility

Cancellation and Termination

Either party may terminate service agreements according to the terms specified in the individual agreement. Upon termination, you remain liable for all fees incurred prior to termination.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Transmit or procure the sending of any advertising or promotional material without our consent
• Impersonate or attempt to impersonate the Company, our employees, or other users
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• Use any robot, spider, or other automatic device to access the Services
• Introduce any viruses, trojan horses, worms, or other malicious code
• Attempt to gain unauthorized access to any part of the Services
• Use the Services to compete with our business or create similar services

Our Intellectual Property

The Services and their original content, features, and functionality are owned by Assistral AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Content and Data

You retain ownership of any content, data, or information you provide to us ("Client Content"). By using our Services, you grant us a limited, non-exclusive license to use, modify, and process Client Content solely for the purpose of providing our Services.

Work Product

Unless otherwise specified in a service agreement, custom work product created specifically for you will be owned by you upon full payment. General methodologies, processes, and know-how developed during our engagement remain our property.

We understand that in providing our Services, we may have access to confidential and proprietary information. We agree to:

• Maintain strict confidentiality of all client information
• Use confidential information solely for providing our Services
• Implement appropriate security measures to protect confidential information
• Not disclose confidential information to third parties without written consent
• Return or destroy confidential information upon request or termination

This obligation survives termination of our service relationship and continues indefinitely.

Service Warranties

We warrant that our Services will be performed in a professional and workmanlike manner in accordance with industry standards. Any specific warranties will be detailed in individual service agreements.

Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will meet your specific requirements, be uninterrupted, timely, secure, or error-free, or that any errors will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASSISTRAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or related to these Terms or our Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Assistral and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your violation of the rights of a third party
• Any content or data you provide to us

Informal Resolution

Before filing a formal dispute, we encourage you to contact us directly to seek resolution. We commit to working in good faith to resolve any disputes amicably.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Estonia. As many of our customers are located in the United States, we acknowledge that disputes may involve parties from multiple jurisdictions, but Estonian law and Estonian courts shall have primary jurisdiction.

Class Action Waiver

Any claims arising out of or relating to these Terms or the Services must be litigated on an individual basis and not as a class action or collective action.

We shall not be liable for any failure or delay in performance under these Terms which is due to earthquake, fire, flood, other acts of God, acts of war, terrorism, epidemics, governmental action, or other causes that are beyond our reasonable control.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, please stop using the Services.

These Terms, together with our Privacy Policy and any service agreements you enter into with us, constitute the entire agreement between you and Assistral regarding the use of our Services and supersede all prior and contemporaneous written or oral agreements.
